Addendum to The Crops of the Future Collaborative Consortium Agreement - FAPESP Versão em português

This Addendum to the Crops of the Future Collaborative Consortium Agreement - FAPESP (“Addendum”) dated as of September 20, 2018 (the “Addendum Date”) provides additional terms to the Crops of the Future Collaborative Consortium Agreement dated May 1, 2018 (the “Consortium Agreement”) by and among the Foundation for Food and Agriculture Research (“FFAR”) and its Participants, including the Fundação de Amparo à Pesquisa do Estado de São Paulo, a research foundation, having its principal place of business at R. Pio XI, 1500 - Alto da Lapa - CEP 05468-901 São Paulo/SP - Brasil (“FAPESP”).

Whereas, FAPESP is a funding body in the State of São Paulo Brazil that was established with an obligation and ability to fund research only in the State of São Paulo, Brazil;

Whereas, FAPESP is required to provide research funding through open calls for research proposals, which proposals are selected for funding based upon an external peer review process; 

Whereas, FAPESP desires to participate in the Consortium in a manner consistent with FAPESP’s legal obligations, and FFAR and the other Participants desire for FAPESP to join to the Consortium as a Participant subject to the terms of the Consortium Agreement and the additional terms of this Addendum;

Now, therefore, FFAR and the Participants, including FAPESP, agree as follows:

1. FFAR and the Consortium will cooperate with FAPESP to have FAPESP open calls for proposals that align with Projects (including those within Crop-specific Programs and Cross-crop Technology Programs) that have been approved for funding by Consortium. FAPESP will be solely responsible to select and fund (except as provided below) any such project (each such funded project, a “FAPESP Project”).

2. FAPESP will provide funding for FAPESP Projects at a level at least equal to the funding provided by each individual Project Funder to the corresponding Project. FAPESP’s funding of such FAPESP Projects will be applied to FAPESPs obligation to fund Projects pursuant to Section 2.3(a) of the Consortium Agreement. For clarity, FAPESP will have no obligation to support any Projects other than FAPESP Projects. In not event will FAPESP have any obligation to support any research that is not conducted in the State of São Paulo, Brazil.

3. FAPESP will be responsible to fund selected projects under its rules and procedures in agreement with their existing financial practices.

4. The Consortium will have the option, but not the obligation, to provide matching funding (equal to that of FAPESP) for FAPESP Projects. Any matching funding is subject to approval by the Executive Committee. If the Consortium matches funding of a FAPESP Project, such FAPESP Project will be deemed part of the corresponding Project under the Consortium Agreement.

5. For FAPESP Projects for which the Consortium provides match funding, FAPESP agrees such FAPESP Projects will include obligations consistent with the Consortium Agreement, including with respect to sharing results and intellectual property with the other Participants.
