Amendment no 3. To research and collaboration agreement
This Amendment No. 3 dated December 09, 2009 (this “Amendment”) is entered into by and between the State of Sao Paulo Research Foundation (“FAPESP”) and Microsoft Corporation (“Microsoft”).
WHEREAS, FAPESP and Microsoft entered into the Research and Collaboration Agreement dated December 15, 2006, as amended by the Amendment No. 1 to Research and Collaboration Agreement dated March 10, 2008 and the Amendment No. 2 to the Research and Collaboration Agreement dated March 11, 2009 (as amended, the “Agreement”), pursuant to which Microsoft provided funding for a certain Research Project;
WHEREAS, FAPESP and Microsoft desire to further amend the Agreement to increase the research funding by two hundred fifty thousand U.S. dollars ($250,000) (the “Additional Amount”) for upcoming new projects (not to be applied to existing projects); and
WHEREAS, FAPESP and Microsoft wish to extend the term of the Agreement by an additional two years.
NOW THEREFORE, in consideration of the mutual promises and agreements contained herein and in the Agreement, the parties hereby agree as follows:
1. Capitalized Terms not defined herein will have the meaning ascribed to them in the Agreement.
2. Section 3.1 of the Agreement is hereby amended and restated by replacing Section 3.1 with the following:
Microsoft’s Contribution.Microsoft will contribute a total of US$1,000,000.00 (one million U.S. dollars) over the full Term of the Agreement toward Research Projects duly approved by the JSC in accordance with this Agreement. ”
3. Pursuant to Section 3.2 of the Agreement, FAPESP will match, dollar for dollar, the Additional Amount.
4. Section 5.1 of the Agreement is hereby amended and restated by replacing Section 5.1 with the following:
“Term.Unless earlier terminated pursuant to this Section 5, the term of this Agreement will commence on the Effective Date and remain in effect until five (5) years thereafter (the “Term”).”
5. Except as specifically amended hereby, the terms and conditions of the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be duly executed as of the date first written above.
