GLAXOSMITHKLINE BRASIL S.A. (“GSK”); represented by Mr Jose Felner, General Manager GSK, Brazil,

SÃO PAULO RESEARCH FOUNDATION (FAPESP) , represented by Prof Marco Antonio Zago, President

AND

EMBASSY OF THE UNITED KINGDOM OF GREAT BRITAIN AND NORTHERN IRELAND , represented by Ms Joanna Crellin, British Consul General, Sao Paulo, and HM Trade Commissioner for Latin America and the Caribbean

(Each a “Party” and together, the “Parties”) (this “MOU”)

WITNESSETH

Recognizing the key role that science, technology and innovation play in the economic and social development of regions and the potential benefits of enhanced scientific and technological co-operation between the researchers in the United Kingdom and colleagues in the State of São Paulo, Brazil, the Parties propose to enter into a multi-year joint collaboration program with the aim of fostering continued scientific discussions between renowned scientists from the UK and the local scientific community in the State of São Paulo, Brazil in accordance with the terms set out under this MOU.

In consideration to the above, the Parties have agreed the following outline terms for this MOU:

OUTLINE TERMS

1) The Parties will promote mutual co-operation aiming the advancement of knowledge in the fields of science and technology innovation through the organization of lectures and/or conferences to be given by prestigious UK based scientists, including Nobel Prize winners, to the scientific community members from the State of São Paulo, Brazil.

2) This knowledge exchange program will have a duration of THREE (3) years as from the execution of this MoU between the Parties.

1) The main features of this collaboration program will be as follows:

a) Number of Lectures and/or Conferences

Up to TWO (2) lectures and/or conferences per year to be hosted by the Parties in São Paulo State, Brazil and to be delivered by prestigious UK based scientists in the areas of general science, medicine, and/or technology to be selected by mutual agreement between the Parties.

b) Funding

i) GSK would fund the airfare costs (Business class) of up to ONE (1) speaker per year, for the first lecture and/or conference in the agenda of the programme for each year, as part of the GSK ‘Trust in Science’ initiative in collaboration with the FAPESP; and

ii) FAPESP would fund the airfare costs (Business class) of up to ONE (1) speaker per year for the second lecture and/or conference in the agenda of the programme for each year.

iii) The Embassy of the United Kingdom of Great Britain and Northern Ireland will support the accommodation for UK based speakers in Sao Paulo state, Brazil.

Executed in the São Paulo, Brazil, on 18 December 2018, in Six (6) original copies of which THREE (3) are in the English language and THREE (3) in the Portuguese language, with all texts being equally authentic.
